Cybersecurity firm Proofpoint, backed by private equity firm Thoma Bravo, has agreed to acquire data security company Varonis Systems in an all-cash transaction valued at approximately $6.3 billion. Under the terms of the deal, Varonis shareholders will receive $49.75 per share in cash, representing a 52% premium over the stock’s closing price before initial sale rumors emerged. The combined entity will serve over 16,000 enterprises globally, forming a massive pure-play cybersecurity powerhouse focused heavily on protecting enterprise data and AI infrastructure. The acquisition is designed to integrate Proofpoint’s expertise in human and agent cybersecurity with Varonis’ strengths in data classification, permissions, and threat detection.
